Terms of Service for MinuteFlow

Effective date: August 31, 2026

These Terms of Service ("Terms") are an agreement between you and Aurora Innovation ("Aurora Innovation," "we," "us," or "our") governing your access to and use of MinuteFlow, including its mobile application, website, and related recording, transcription, AI note-taking, sharing, and subscription services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

1. Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are in the European Economic Area or United Kingdom, you must be at least 16 unless a lower age is permitted with valid parental consent under local law. You must also be legally able to enter into these Terms.

You agree to provide accurate account information, keep your sign-in credentials secure, and promptly notify us at gformsapp@outlook.com of suspected unauthorized access. You are responsible for activity conducted through your account unless caused by our failure to use reasonable security measures.

2. The Service

MinuteFlow allows you to record audio, import audio or video, submit supported source links, generate transcripts and speaker labels, create and customize summaries, edit results, ask AI questions about a record, export or download selected content, and share results. Features may vary by device, country, plan, or product stage.

Processing may occur in stages, including file preparation, upload, transcription, speaker identification, summary generation, and finalization. Some stages may take time or fail because of source quality, network conditions, third-party services, quotas, or other technical reasons. We may provide retry, replacement, or recovery options, but we do not guarantee that every source can be processed.

3. Recording and Privacy Responsibilities

You may record, upload, process, or share content only when you have all rights, notices, and consents required by law and by any confidentiality obligation. Recording-consent laws vary and may require every participant's consent. MinuteFlow does not determine whether your recording is lawful.

You must not secretly record where prohibited, impersonate another person, violate workplace or contractual rules, or upload content that you are not authorized to use. You are responsible for notifying participants that automated transcription and AI processing may occur and for choosing what to export or share.

4. Your Content and License to Operate the Service

You retain ownership of audio, files, links, transcripts, speaker labels, summaries, edits, prompts, and other content you submit to or create with the Service ("Your Content"), subject to any rights held by other people.

You grant us and our service providers a limited, non-exclusive, worldwide license to host, copy, transmit, format, transcribe, analyze, generate, display, and otherwise process Your Content only as needed to provide, secure, and support the Service; comply with your instructions; enforce these Terms; and meet legal obligations. This license ends when Your Content is deleted, except for limited backup, legal, security, and dispute-resolution retention described in the Privacy Policy.

You represent that you have the rights necessary to grant this license and that our processing of Your Content at your direction will not violate another person's rights or applicable law.

5. Automated Transcription and AI Output

The Service uses automated transcription and AI systems, including third-party providers. Transcripts, speaker identification, summaries, action items, and AI chat responses may be inaccurate, incomplete, biased, or misleading. They are drafts to be reviewed, not verified records of fact.

You must review important output against the original source before relying on, publishing, or sharing it. The Service is not a substitute for legal, medical, financial, employment, safety, or other professional advice, and you must not use AI output as the sole basis for a high-impact decision about another person.

If you edit a transcript and request regeneration, the summary or later AI responses may change. If you edit a summary, the transcript does not automatically change. The Service may preserve a prior saved version when regeneration or saving fails.

6. Sharing, Exporting, and Third-Party Recipients

You control whether to export or share a summary, transcript, audio file, AI response, or link and whether to include speaker labels or timestamps where those controls are offered. Review the selected content before sharing. Anyone who receives a file or link may copy, download, or redistribute it outside our control.

You are responsible for choosing authorized recipients and for any instructions or restrictions that apply to shared content. Deleting the source record disables links controlled by us as described in the Privacy Policy, but it cannot delete copies already downloaded or retained by another person or application.

7. Free Allowances, Trials, and Paid Subscriptions

The Service may offer a limited free processing allowance, a free trial for eligible users, and automatically renewing weekly, yearly, or other subscription plans. Current products, prices, currency, billing period, trial terms, and included features are shown before purchase and may vary by country or platform.

Purchases are processed by the Apple App Store, Google Play, or another platform shown at checkout. Your subscription automatically renews unless you cancel through the applicable store at least as required by that store before renewal. You can manage or cancel the subscription in your store account. Deleting the app or your MinuteFlow account does not automatically cancel a store subscription.

Charges, taxes, payment methods, refunds, and billing disputes are generally handled under the applicable store's terms and mandatory consumer law. You may use Restore Purchase where available to restore an eligible entitlement.

Only content accepted for processing should consume a usage allowance. If a processing failure qualifies under the Service's current rules, the corresponding allowance may be restored. After a subscription expires, you may continue to view and edit existing summaries and transcripts, regenerate a summary from an existing record, share or export existing results, and download original audio where available. New paid processing and changes to paid template settings may require an active plan. The feature state shown in the Service controls.

8. Acceptable Use

You must not:

We may investigate violations, restrict processing, remove unlawful content, or suspend access where reasonably necessary to protect the Service, users, or third parties.

9. Our Intellectual Property

Except for Your Content, the Service and its software, design, trademarks, documentation, and other materials are owned by Aurora Innovation or its licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

If you provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

10. Third-Party Services

The Service may rely on or link to third-party services, including Apple, Google, YouTube, cloud storage, transcription, AI, analytics, and attribution providers. Third-party services are governed by their own terms and may change or become unavailable. We are not responsible for third-party content or services, but this does not limit obligations we cannot lawfully exclude.

When you submit a third-party link or file, you represent that your access and use comply with the source service's terms and applicable law. The Service does not grant you rights to third-party media.

11. Deletion, Suspension, and Termination

You can delete individual records or request account deletion through available account controls or by contacting us. Before deletion, the Service should identify the affected content and request confirmation. Deletion timing and backup retention are described in the Privacy Policy.

You may stop using the Service at any time. Store subscriptions must be cancelled separately. We may suspend or terminate access if you materially or repeatedly violate these Terms, create legal or security risk, fail to pay applicable charges, or use the Service in a way that could harm others or the Service. Where reasonable, we will provide notice and an opportunity to export content or appeal, unless doing so would create risk or violate law.

Sections that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limits, and dispute terms, will survive.

12. Service Changes and Availability

We may add, modify, limit, or discontinue features and may perform maintenance. We will use reasonable efforts to avoid material disruption and provide notice of material changes where appropriate. We do not guarantee uninterrupted availability, permanent storage, or compatibility with every source or device. Keep independent copies of content you must preserve.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that processing will be error-free, that AI output will be accurate, or that the Service will meet every legal or professional requirement.

Nothing in these Terms excludes warranties, guarantees, or remedies that cannot be excluded under applicable consumer law.

14. Limitation of Liability

To the maximum extent permitted by law, Aurora Innovation and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, use, or data, arising from the Service, even if advised that such damages are possible.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service during the 12 months before the event giving rise to the claim or (b) US$100.

These exclusions and limits do not apply to liability that cannot be excluded or limited by law, including liability for fraud or willful misconduct and any mandatory consumer rights.

15. Indemnity

To the extent permitted by law, if you use the Service on behalf of a business or for commercial purposes, you will defend, indemnify, and hold Aurora Innovation harmless from third-party claims and reasonable costs arising from Your Content, your unlawful recording or sharing, or your material violation of these Terms. This section does not apply to individual consumers where prohibited by law.

16. Governing Law and Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Subject to any mandatory right you have to bring a claim elsewhere, the courts of Hong Kong have exclusive jurisdiction over disputes arising from these Terms or the Service.

Before filing a claim, please contact gformsapp@outlook.com and describe the issue and requested resolution. We will try in good faith to resolve the dispute informally. Nothing in this section prevents either party from seeking urgent injunctive relief or using an eligible small-claims or consumer-resolution procedure.

17. Changes to These Terms

We may update these Terms as the Service or law changes. We will post the revised Terms and update the effective date. If a change materially reduces your rights, we will provide additional notice where required and normally make the change effective no earlier than 14 days after posting, unless an earlier date is required for security, legal, or urgent service reasons. If you do not agree to updated Terms, stop using the Service before they take effect.

18. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If a provision is unenforceable, it will be modified only to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or transfer of the Service, subject to applicable law. Headings are for convenience only.

19. Contact Us
